You’ve secured a sponsorship deal, and now the brand has sent you a pages-long contract to review and sign. Plenty of content creators might be so excited to get an offer that they skim the fine print and sign on the dotted line. But the particulars spelled out in all those pages can significantly impact your brand, image, and content business. (And in most cases, those contract details can be negotiated if you don’t agree.)

Here are 10 of those contract details you need to know – and understand – before you sign anything. 
 

1. Payment Terms: Ensure that the payment terms, amount, and due date are clearly stated and agreed upon.

2. Deliverables: Specify the type, format, and quantity of the deliverables expected from the content creator.

3. Ownership and IP rights: Clarify who owns the rights to the content created and if the content creator is allowed to use the content for future work.

4. Duration and Termination: State the start and end date of the contract and the circumstances under which either party can terminate the agreement.

5. Confidentiality: Include provisions on confidential information, trade secrets, and non-disclosure agreements to protect sensitive information.

6. Liability and Indemnification: Determine the parties' responsibilities and liabilities in case of disputes, errors, or omissions.

7. Dispute Resolution: Outline the process for resolving disputes between the parties, including mediation, arbitration, or court action.

8. Modifications and Amendments: Include provisions for modifying or amending the agreement, and the process for doing so.

9. Governing Law: Specify the law that governs the contract and which jurisdiction will be used to resolve disputes.

10. Notices: Include provisions on how notifications or communications should be made between the parties.
